Tilleghem is an entrepreneurial investment company focused on private equity, taking both minority and majority stakes in companies. They handle full acquisitions of mature companies (LBOs), support start-ups, and invest in companies seeking growth capital.

In private equity, they act as a hands-on partner with a long-term (evergreen) approach. Tilleghem can rely on an extensive network of partners, entrepreneurs, family (co-)investors and advisers.

Function

The Legal Officer is responsible for supporting strong corporate governance, entity management, efficient contract administration and general legal matters. In this role, you will report to the Investment Managers and Partners and have the following responsibilities:

Key Responsibilities

  • Assist with day-to-day legal matters relating to Tilleghem's investments, financing activities and other business operations.
  • Prepare all board and committee meetings, draft the relevant agendas and minutes, and liaise with the investment team, management team and board of directors.
  • Perform and follow up on legal publications and filings.
  • Liaise with external stakeholders such as lawyers, notaries' offices and other advisers.
  • Support corporate transactions, including entity incorporations, restructurings and governance implementation.
  • Ensure compliance with corporate governance requirements, including the filing of necessary documents with regulatory bodies.
  • Maintain and optimise the contract management system.
  • Act as the first point of contact for all internal legal requests in the context of Know Your Customer (KYC) and Anti-Money Laundering (AML) matters relating to investments.
  • Perform or assist with internal and external training sessions and presentations, ensuring that the Legal team and the company remain up to date and helping to prepare internal presentations for deal teams.

Profile

  • A professional or academic Bachelor's degree in Law or a Master's degree in Law.
  • A minimum of 3 years of relevant professional experience in a law firm (corporate department), private equity firm, financial institution, notary public office, etc.
  • Strong business judgement and a pragmatic, solution-oriented mindset.
  • Excellent organisational skills and attention to detail.
  • The ability to manage a varied workload, prioritise effectively and adapt to changing business needs in a fast-moving project and transaction environment.
  • Strong written and verbal communication skills.
  • The ability to work autonomously while contributing to a collaborative team.
  • The ability to build trusted working relationships with senior internal stakeholders and external advisers.
  • A good sense of humour.
