The Belgian Investment Company for Developing Countries (“BIO”) is a development finance institution controlled by the Belgian government that seeks to support the private sector in developing countries by investing in local enterprises, either directly or indirectly (e.g. through financial institutions or investment funds).

The mission of BIO is to support a strong private sector in developing and/or emerging countries, to enable them to gain access to growth and sustainable development with the aim of achieving the Sustainable Development Goals.


Mission

You are the Legal (Investments) Team’s expert spearheading direct and indirect (fund) equity investments across diverse developing countries where BIO operates. 

Tasks and responsibilities

  • You provide legal support in all stages of an equity investment, from initial structuring to exit. As a key member of the internal deal team, you'll often engage with various external stakeholders, including external counsel, client and co-investors. More in particular your responsibilities are to:
    • provide legal advice on the structuring of the transaction;
    • oversee legal aspects of the due diligence;
    • set out the legal considerations and risks during the internal approval process;
    • draft and review transaction documents (such as term sheets, subscription agreements, shareholders’ agreements, limited partnership agreements, side letters, etc.);
    • actively participate in negotiations; 
    • address any legal questions in relation to monitoring, waivers and amendments; and
    • manage the client-counsel relationship if an external counsel is mandated.
  • You contribute to the team’s knowledge management relevant for equity investments. This includes:
    • developing internal tools, templates and databases; and
    • organising internal trainings in order to bolster colleagues' legal proficiency.
  • You participate in ad hoc  or cross-functional projects based on personal interests and expertise.

Profile

  • You have a Belgian Master’s degree in Law or an equivalent degree;
  • You have at least 5 years’ relevant experience (in a law firm or in-house) in the areas of M&A, private equity, … ;
  • You are familiar with, or have an interest in, fund transactions;
  • You are enthusiastic about BIO’s mission and values; 
  • You are able to work autonomously, you have good organizational skills and an eye for detail;
  • You learn quickly and are proactive;
  • You are a strong team player, who enjoys working together with colleagues and sharing knowledge;
  • You have strong communication and negotiation skills (spoken and written); 
  • You are fluent in English and can also work in French;
  • You are pragmatic and solution oriented while adequately managing legal risks;
  • You can think ‘out of the box’ in complex or unfamiliar circumstances.
