For our client, NRB, we are looking for a Senior Corporate Legal Advisor. Fluent in French with good command of English.
As a Senior Corporate Legal Advisor, your main responsibility will be to provide legal support and assistance to the top management (CEO, CFO...) at strategic level. Interacting with both management and shareholders, you will be responsible for the following tasks:
- Acting as legal secretary to the group's governing bodies (invitations to and minutes of the Board and its specialised committees, General Shareholders' Meetings)
- Ensuring compliance with legal deadlines and requirements, particularly in the context of legal proceedings (lawyers' conclusions, answers to public authorities, etc.), preparing files and drafting correspondence, notes and reports
- Drafting agreements such as loan agreements, shareholder agreements, non-disclosure agreements, etc.
- In liaison with the manager in charge of a daily operational management file, providing assistance in the preparation, implementation and monitoring of various files
- Assisting the Board with investment, M&A or sale transactions, and more specifically with the preparation of files, participation in the negotiations leading up to the drafting of agreements and their implementation
- Analysing all legal issues relating to corporate activities, identifying issues and making recommendations to resolve them
- Giving advice and answering corporate legal questions raised within the company
- Managing corporate litigation files
- Legal monitoring (analysing the impact of new legislation or legislative changes applicable to the company and ensuring that they are implemented)
- Ensuring that the company is compliant with corporate governance requirements
- You hold a Master’s degree in law
- You have acquired solid legal experience (at least 5 years)
- You have experience in corporate law and corporate governance, civil law in the broad sense and contract law in particular
- A good understanding of economic and financial issues is also required
- You have excellent interpersonal and communication skills, including diplomacy, discretion and confidentiality
- You are able to express legal issues clearly and concisely
- You are enthusiastic, dynamic, proactive and accessible
- You are able to work both independently and as part of a team, within a structure composed of different personalities
- You are logically minded, rigorous, well-organised and willing to take initiatives
- You have excellent analytical, synthesis and drafting skills
- You pay particular attention to the rules of ethics and professional secrecy
- You are fluent in French and have a good knowledge of English. Proficiency in Dutch is an asset
