Cobepa is an independent, privately-held investment company with a net worth of EUR 2.7 billion. It started its investment activities in Belgium in 1957 as a dedicated subsidiary of Banque Paribas but operates as a fully independent investment company since 2004.

Cobepa is active as an equity investor throughout Europe, having gained broad experience and solid expertise via a large variety of transactions in a wide range of industries.

Cobepa contributes to the growth of the companies in which it invests. Characterized by an entrepreneurial family background and an “evergreen” structure, Cobepa is a committed and supportive shareholder with a medium to long term investment horizon.

Current investments include e.g. Le Pain Quotidien, Degroof Petercam, HG and BioAgilytix.

For its Brussels office, Cobepa is looking for a legal counsel.

As a legal counsel, you will own the legal internal corporate function of the Cobepa group as well as all insurances maintained by the Cobepa group.

You will also (i) assist the investment team on investment and divestment projects, (ii) improve the compliance function, (iii) manage requests, if any, from antitrust authorities and (iv) frequently interact with portfolio companies on ad hoc legal questions.   

More specifically, your tasks will include: 

  • Keep all internal group companies in good standing, including updating templates in line with changing legislation, preparation of board and shareholders’ meeting minutes as well as Cobepa’s annual report, appointments and resignations of directors and auditors, managing Cobepa’s corporate timeline and assist the Head of Legal in reporting to the audit committee;
     
  • Efficiently manage internal corporate transactions, e.g. drafting of intragroup agreements, including share purchase agreements, pledge agreements, shareholder loan agreements, service agreements, etc. and managing liquidation of companies and cross-border transfers;
     
  • Conduct customer due diligence on third parties (e.g., shareholders, co-investors, sellers) and roll-out of new policies (compliance);
     
  • Assist the Head of Legal in providing legal transaction support e.g. with the creation of SPV’s, manage capital increases, re-negotiation of shareholders’ agreements, negotiation of share purchase agreements and post-closing interactions with portfolio companies;
     
  • Topgrade terms of D&O and other policies and ensure that all portfolio companies have appropriate D&O insurance policies in place;
     
  • Manage requests from competition authorities;
     
  • Contract review and ad hoc legal and tax analysis.

You will report to the Head of Legal.

  • You’ve obtained a Belgian Master’s degree in law with excellent academic results;
     
  • You have at least 2 years of relevant experience in an international setting;
     
  • A background in tax is a plus;
     
  • You have excellent French and English language skills and a good knowledge of Dutch;
     
  • You have a keen interest in working in the private equity industry;
     
  • You are motivated, enthusiastic and you have a flexible mindset;
     
  • You have excellent and confident presentational skills, both written and oral;
     
  • You plan and organize in an efficient manner;
     
  • You easily earn trust and maintain confidence;
     
  • You do not cut corners ethically;
     
  • You are a quick learner and quickly absorbs new information;
     
  • You are detail-oriented: you do not let important details slip through the cracks;
     
  • You are proactive: you act without being told what to do;
     
  • You are open to criticism and ideas and you solicit feedback.
