Company description

EDFI Management Company (EDFI MC) (www.edfimc.eu) is an EU-funded hub to manage innovative development finance solutions.

EDFI MC operates on behalf of 15 European Development Finance Institutions (DFIs) to offer financial services to sustainable development projects led by the private sector in emerging and developing economies. EDFI MC's product portfolio includes investment solutions, co-financing vehicles, and risk-sharing instruments. All these financing instruments are designed to contribute to the Sustainable Development Goals and the Paris Climate Agreement. Concomitantly, EDFI MC works in close operational cooperation with relevant DFIs and the EU throughout the investment process.  

EDFI Management Company is a multicultural organization with over 40 employees located in Brussels. The staff consists of specialized investment professionals, relying on the support of various departments. 


You will ensure the smooth operation of EDFI MC's corporate governance function and provide legal administrative support to the Legal team and the broader organisation. The Paralegal is the primary owner of Board and committee secretariat activities, manages internal governance meeting logistics and documentation, and provides targeted transactional support to Legal Counsels on a case-by-case basis.

In this function, you will report to EDFI MC General Counsel.

Key responsibilities:

Corporate governance & secretariat

  • Oversee the preparation of Board of Directors', Audit Committee, and HR Committee meetings: agenda coordination, document upload, minute-taking, and circulation for approval.
  • Liaise with directors and shareholders to schedule Board, committee, and shareholders' meetings; manage all logistical arrangements (room booking, IT equipment, catering, remote access).
  • Draft written resolutions and formal communications to the Board and shareholders; ensure signed minutes are filed with the relevant registries including the Belgian State Gazette.
  • Manage the EDFI MC SharePoint governance portal: upload meeting materials, grant and revoke access, maintain document classification.
  • Follow up with the Management Team on Action Point Lists and report to the General Counsel.

Internal governance meetings

  • Organise and provide secretariat support for Management Team meetings (weekly MT, ad hoc MT meetings), Operations Committee meetings, and extended management meetings: preparation of agendas, minutes, and supporting documents to deadline.

Transactional & legal support

  • Provide ad hoc transactional assistance on a case-by-case basis, including conditions precedent review and collection support.
  • Support the electronic signature process for pre-contractual and contractual documents for the Legal team and Front Office.
  • Draft and deliver director appointment, amendment, and resignation letters to investee companies' governance bodies on behalf of EDFI MC.

Knowledge management

  • Maintain and update the legal knowledge database, including lessons-learned documentation.
  • Oversee and present the Legal team's general onboarding presentation for new joiners; organise onboarding sessions on legal matters upon the arrival of new colleagues and directors.
  • Assist with the preparation and update of template contracts and standard documents.
  • Draft and assist with the preparation of proxies.

Profile

  • Bachelor's or Master's degree in Law, Business Administration, or a related field.
  • Experience in a legal, corporate governance, or secretariat function, ideally involving independent ownership of recurring processes and deliverables; experience in a financial services or DFI context is valued.
  • Demonstrated capacity to work autonomously: to structure and prioritise one's own workload without day-to-day supervision, to identify and implement practical solutions within applicable legal, procedural and confidentiality constraints, and to escalate only what genuinely requires arbitration.
  • Excellent organisational and coordination skills; able to run multiple concurrent deadlines end-to-end, anticipating bottlenecks rather than awaiting instructions.
  • Proficiency in Microsoft Office and SharePoint; experience with electronic signature platforms.
  • Excellent written and spoken English (mandatory), with solid drafting skills: able to produce publication-ready minutes, agendas, and formal communications requiring limited review.
  • French and/or Dutch is a significant asset.
