Legal Advisor Corporate M&A

• Handle all the legal aspects of M&A transactions (acquisitions and sales) from beginning to end, corporate governance, corporate housekeeping and corporate sustainability of the different subsidiaries of the group ;
• Deal with any questions relating to corporate law ;
• Be responsible for organizing AG’s annual shareholder meetings and act as secretary ;
• Identify legal risks and opportunities, determine their impact on the company and submit and defend your opinion to senior management ;
• Draft, review and update all the legal corporate documents and templates ;
• Ensure a watch of any legal development in corporate law in general ;
• Collaborate – when needed – with other (legal) departments within AG Insurance Group and with the legal department of Ageas, a parent company of AG Insurance ;
• Represent AG’s views, not only internally but also externally where appropriated. 

• You have a master’s degree of Law;
• You have at least 5 years experience as legal counsel or lawyer, specialized and passionate by M&A, corporate law and corporate governance;
• A good knowledge of competition law is a plus;
• You have a really good level French, Dutch and English, both oral and written;
• You have excellent communication skills, you know how to convince people and you're not afraid to negotiate with senior management;
• You have an analytical mind and your work is always rigorous, results-oriented and organized;
• Strategic thinker. You can develop a strong strategic vision;
• You work with precision, attention to detail, organization and autonomy;
• You are results-oriented and used to achieving results on time, taking into account the interests of all parties involved;
• You can organize and manage projects independently;
• You work well within a teams but you can also work independently and autonomously.
