Head of Legal & Compliance

Storm is looking for a Head of Legal & Compliance to lead their legal function. In this key role, you will combine strategic legal work with hands-on operational support while managing a team of three legal professionals.

As a trusted business partner, you will advise the different business units and senior management on legal, transactional and compliance matters and contribute to the successful achievement of the company's strategic objectives. You will work closely with stakeholders in and outside the company and play a central role in supporting projects throughout their entire lifecycle. This is a role for someone who wants to work closely to the business. 

The role covers a broad spectrum of legal matters, including drafting and negotiating of all types of business-related contracts, M&A transactions, corporate governance,  real estate and data protection (GDPR). You will report directly to the CFO and be part of the Finance & Legal Business Unit.  

Leadership 

Lead and mentor a team of three legal professionals, ensuring efficient legal support across the business. Further developing the legal team in function of the needs of the company. 

Legal Advisory 

• Serve as the primary point of contact for all legal and compliance matters across the organization.
• Provide practical and strategic legal advice throughout the full lifecycle of projects, from development to commercial operation, acting as the trusted legal advisor to management and business stakeholders (such as investors and banks). 
• Partnering with a network of expert law firms, and maintaining full coordination and oversight of this collaboration

Transactions & Contracting

• Coordinate and support corporate & financial transactional work, including share deals, (project) financing transactions, joint ventures, in collaboration with external advisors.
• Draft, negotiate and advise on a broad range of contracts, including corporate contracts (such as shareholders’ agreements), financial contracts (loans & securities), real estate agreements (such as rights in rem), commercial contracts, construction agreements. 

Corporate Governance & Compliance

• Assume overall responsibility for the corporate governance of more than 100 legal entities within the Group, including corporate housekeeping, capital transactions, statutory compliance, UBO and AML.
• Drive compliance initiatives, including overseeing and further strengthening the Group’s GDPR compliance program.

Legal Operations

• Drive the ongoing optimization and professionalization of the legal department within Storm, including the digitalization of legal processes and creation and implementation of templates across the organization.
• Identify and implement opportunities to further enhance the legal function (such as Legal Tech / Legal AI initiatives).

Dispute Management & External Counsel

• Oversee and coordinate material legal disputes and litigation matters.
• Maintain and further develop the external counsel framework, including engagement guidelines and cost governance.

• Belgian Master's degree in Law.
• At least 12 years of relevant experience, preferably gained as a senior in-house counsel and/or as a business lawyer within a reputable law firm. 
• Previous experience leading a (small) legal team is preferred. Having the right people skills is of utmost importance. 
• Strong expertise in corporate law, commercial law, contract law, real estate law, financial law and liability law.
• Hands-on mentality; you will also have an operational role and work actively on several matters.
• Proven experience in coordinating transactions.
• Excellent contract drafting and negotiation skills.
• Strong business acumen, solutions-oriented approach and the ability to balance legal rigor with pragmatic business solutions. 
• Highly communicative, proactive and capable of operating effectively at all levels of the company. 
• Be able to work in a high pace and changing environment.
• Fluent in Dutch and professionally proficient in English. Knowledge of French is a plus.
