About the Role

As Legal Counsel & Corporate Governance Manager, you will be our first point of call for all legal matters — providing hands-on, end-to-end legal support across the business and optimizing the CFOs bandwidth to focus on core strategic priorities.

This is a highly strategic, commercially integrated role. It is an ideal transition for an external or internal counsel seeking a position to partner directly with business units and drive commercial objectives. You will be embedded in the business, working closely with the CFO as a trusted sparring partner, and progressively taking ownership of the full legal agenda. It is the ideal next step for a lawyer who wants to move in-house, get close to commercial reality, and grow into a true business partner.

Key Responsibilities

Legal Counsel

  • Serve as the primary internal legal resource across all areas: commercial contracts, corporate law, employment, IP, regulatory and litigation matters
  • Draft, review and negotiate a wide range of agreements (commercial contracts, NDAs, supplier and customer agreements, partnership deals, licensing)
  • Manage external counsel, including defining scopes of work, controlling mandates, ensuring quality assurance of outputs, and reducing external legal spend to an absolute minimum. 
  • Identify and proactively manage legal risks across business operations
  • Provide pragmatic, day-to-day legal counsel to cross-functional stakeholders (Sales, Operations, Finance, HR) to support business operations. 
  • Monitor relevant legislative developments in Belgium and key markets and ensure internal compliance

Corporate Governance

  • Organise and administer Board and committee meetings — agendas, board packs, minutes and resolutions
  • Coordinate all shareholder interactions, including preparation of documentation, communications and follow-up
  • Maintain corporate records, entity structures and statutory filings
  • Support the CFO on any M&A, financing or investor-related legal workstreams

ESG & Compliance

  • Oversee ESG reporting obligations, coordinating internally to ensure timely and accurate disclosure (CSRD/ESRS)
  • Maintain and update internal compliance policies and frameworks

Your Profile

  • Master degree of Laws (Belgian or equivalent); admission to the bar is a plus but not required
  • 5 years of experience in a law firm or in-house legal role, ideally with exposure to corporate/commercial law
  • Strong generalist legal profile — comfortable moving across contract law, corporate governance and regulatory topics
  • Pragmatic and solutions-oriented: you give clear, actionable advice rather than purely theoretical analysis
  • Excellent stakeholder management — able to translate legal complexity into plain language for non-lawyers
  • Native Dutch speaker, with professional proficiency in English; knowledge of French is an asset
  • Entrepreneurial mindset with a demonstrated ability to build and scale legal frameworks within a growing business
