Description of the vacancy

Contracts - Supporting the Group's commercial development and operational performance in the Benelux countries

  • Analyzing terms for private or public calls for tender, following tender process, drafting offers.
  • Negotiating, drafting and revising commercial and operational contracts (service contracts, public procurement contracts, general and special conditions for the various activities, subcontracting, supplier contracts, IT contracts).
  • Drawing up/updating standard contracts, standard clauses and negotiation tools for sales and operational staff.
  • Management and securing of contractual relations, support to the business in terms of performance, price increases, renewal or termination of contracts (pre-litigation, litigation).


Regulatory

  • Monitoring, analyzing and adapting the company's activities to changes in regulation governing the private security sector.
  • Relations with supervisory and regulatory authorities.
  • Involvement with professional organisations in the sector.
  • Management of the NSD department (National Security Department - 1 person).


Corporate

  • Management of the corporate life of the Group's subsidiaries in the Benelux (corporate decisions, intra-group reorganisation operations, incorporations, mergers, liquidations, appointments of directors, changes to the articles of association).
  • Delegation of powers and signatures.
  • Drafting, updating and monitoring intra-group contracts in the Benelux countries.
  • Acquisitions and disposals, in conjunction with the Group Legal Department (due diligence, legal structuring, acquisition agreements, sale agreements, representation and warranties)


Compliance

  • Support for the roll-out of the Group's ethics and compliance policy (competition, anti-corruption, personal data protection); Role of DPO in Belgium and supervision of compliance with personal data protection regulations in the Netherlands and Luxembourg.
  • Participation in the definition of the various compliance programmes and the drafting of supporting documentation, implementation of these programmes.
  • Raising awareness and training the Benelux team.

Profile

  • Education : Master in Business Law / Lawyer
  • Language : Dutch, French, English
  • Experience: At least 15 years' significant experience in a law-firm and/or as in-house lawyer
  • Practice areas : Contract law, information technology law (including personal data), commercial law, company law
  • Required qualities:
