Description of the vacancy

The Senior Legal Counsel is responsible to provide and co-ordinate professional legal and compliance services on a wide range of topics to the different Terumo businesses and functions across EMEA and collaborate with colleagues in EMEA and globally when required. The Senior Legal Counsel will be part of the senior leadership team to support the General Counsel to build and manage the legal and compliance team and determine short- and long-term strategy. The Senior Legal Counsel will set up and manage a legal operations function to secure operational efficiency, maximize productivity and apply creative thinking and suggest innovative ways of driving the department forward.

Your tasks will include:

Legal & Compliance Department Senior Leadership

  • Be a member of the Legal & Compliance Department Senior Leadership team, act as a partner to the General Counsel EMEA to implement the Legal & Compliance strategy, to build the legal and compliance team and to continuously improve the Legal & Compliance activities and service.
  • Build & implement strong relationships personally and as a team with internal and external business partners in the EMEA region and around the globe.
  • Be a role model as a professional lawyer with high ethical standards in line with the Terumo Core Values and support close cooperation and communication in the legal and compliance team and with colleagues globally in Terumo corporation, international businesses, and other Terumo companies.
  • Build/optimize/participate into formal and informal networks with internal & external stakeholders to best position Terumo and co-build our Employer Brand.
  • Work strategically with legal staff and outside counsel.
  • Represent the General Counsel and other senior lawyers in their absence.
  • Act as one Senior leadership team in the interests of the Legal and Compliance Department as a whole and the company and adhere to the following principles: open and transparent communication; respectful and open discussions in the team but one voice communication outside of the team; close collaboration and substantial support of other SLT members; grant each other success (do not be envious); success by one is success by the team; be discrete and maintain confidentiality.
     

Legal & Compliance

  • Legal & Compliance Team: Act as a team member in the Terumo Legal & Compliance Department with the objective to defend and protect the interests of Terumo and the various businesses.
    o     Understand, evaluate and timely, clearly, and effectively communicate the legal implications, risks and opportunities associated with commercial transactions, business operations and projects, while at the same time understanding the business requirements and needs of the company.
    o     Render professional legal advice and support in matters covering a broad spectrum of commercial and related legal subjects, including contracts, transactions, litigation, trade, distribution, fair competition, and business practices, and with a particular focus on ethics and compliance.
    o     Interact at all levels including General Counsel and Business President level, functional specialists throughout the company, Legal advisers in numerous jurisdictions, suppliers, customers, business partners, competitors, and authorities.
    o     Draft, review and recommend common company contracts, participate in negotiations, draft and recommend amendments to (EMEA wide) standard contracts for customers, suppliers and business partners.
    o     Actively participate in the team meetings.
    o     Appropriately represent Terumo (defend the Terumo brand) and the Legal & Compliance Department in your network such as IBJ and Medtech.
    o     Contract administration using CMS.
     
  • Lead Lawyer: act as the Lead lawyer to provide legal services to identified BU’s and Functions as assigned by the General Counsel.
    o    Remain informed of and keep substantive oversight of legal issues and risks concerning the assigned BU’s and Functions.
    o    Identify legal and related BU/Functional objectives and issues and play a key role in ensuring that appropriate responses and actions are identified, planned and progressed (Legal Services Action Plan).
    o    As a general matter, keep other relevant team members working on BU/Function matters appropriately informed on the BU/ Function concerns and strategies and legal and compliance activities and priorities.
    o    Work in the matrix organisation and discuss and pro-actively resolve any overlaps or ambiguities and ensure collaboration, open communication and sharing of information with other members in the Legal and Compliance Department.
    o     Liaise with other functions and legal functional specialists in EMEA, other Terumo companies and globally as necessary on the BU/Function legal matters and also matters concerning Terumo Corporation.
    o     Legal Expert: act as internal expert in commercial law and in the areas of expertise assigned to you and be the go-to person in your area of expertise; keep legal knowledge up to date.
     
  • Ethics and Compliance: Support the implementation of compliance policies and the development of a compliance culture and implement and manage specific compliance programs assigned to you by the General Counsel.
    o    Draft and launch clear, concise compliance policies and guidance, training employees and third-party service providers.
    o    Assist in setting standards for implementation of compliance policies, standards and programs, ensure appropriate training opportunities, and secure and maintain the support and commitment of the BU/Function senior management to these policies and programs.
    o    Advice and give guidance the BU/Function on compliance topics in day to day activities in line with the policies and the guidelines and in collaboration with the Lead Compliance Lawyer; seek to understand business needs, objectives and context as a true business partner.
  • Participate in the Speak up program; investigate assigned alleged breaches of laws, regulations and support performance of corrective actions, compliance tracking and monitoring activities.
     

Legal operations

  • Implement and manage core legal systems, in particular Terumo CMS, Grants and Donations and other systems.
  • Provide support to other team members for the implementation of other legal tools and systems.
  • Oversee the corporate housekeeping management in the Klea tool.
  • Manage and serve as primary contact with IT to assess, choose, deploy and maintain the appropriate information systems and tools.
  • Suggest innovative ways of driving the department forward through processes, technology and information.
  • Build, lead and manage the legal operations team.
  • Lead and Coach the team members, encourage continuous development to have a high performing team and foster interchangeability of roles.
  • Ensure agility of your team by allocating resources according to priorities.

Profile

  • Master of Law.
  • Demonstrating minimum 10 years of experience in commercial contract law and general business law, either as a lawyer or as in-house counsel.
  • Typically intellectually demanding, with high urgencies and contradictory priorities. Involves the oversight of BU matters handled by professional staff including at a senior level.
  • A mature, flexible and commercially oriented approach is at all times expected. The environment is fast-moving, involving the management of and prioritising of a large volume of complex work, ensuring timely delivery and high quality.
  • Ability to work confidently in foreign jurisdictions.
  • Excellent communication skills in English.
  • IT savvy.
