Capricorn Partners NV is looking to expand its team in Leuven with a dynamic Legal Officer. 

As part of the Risk, Legal & Compliance team, you will give legal advice to Capricorn Partners on all aspects of its business as a fully licensed alternative investment fund manager of several private investment funds and of the quoted fund Quest for Growth, public privak.

The Legal Counsel will:

• Proofreading and (occasionally) drafting (almost exclusively in English) investment and shareholder agreements, financing agreements (mainly convertible loan agreements) and other documentation relating to investments in portfolio companies and as such supporting the investment teams in building a successful portfolio.

• Performing legal due diligence on candidate portfolio companies and advising the investment managers in legal questions and issues.

• Assist Quest for Growth as a quoted investment fund under the public privak legislation in its contacts with the regulator and its lawyers.

• Corporate housekeeping of the various funds managed by Capricorn Partners.

• Assisting the member of the executive committee responsible for compliance & risk in the performance of her duties, such as identifying, evaluating and monitoring risks and drawing up risk action plans and annual risk reports, evaluating and reviewing the written procedures and processes, assisting in compliance matters.

• Master in law with specialization in corporate law and interest in risk management & compliance
• Min 5 years’ experience in a law firm or a legal department of a financial institution/fund
• Knowledge of financial legislation
• Knowledge about tax is a nice to have
• Excellent knowledge of Dutch and English
• Positive can-do attitude
• Self-starter, needing only limited guidance and able to rapidly take ownership and work independently
• Flexible and willing to get involved in many different aspects of the job where required
• Strong communication and interpersonal skills; able to work and integrate in top professional teams
• Having an eye for detail while keeping an helicopter view. Good oral and written communicator
• Comfortable with interfacing regularly with key stakeholders of the funds and with the Financial Markets Authority.
