Legal Counsel

Our client is a fast-growing company active in the wellbeing sector.

You will assist the Group’s Deputy Chief Executive Officer (D-CEO) in charge of the Group’s legal, administrative and ESG matters to oversee the legal aspects of the business, mostly in Belgium and, upon request, in other locations. You will be involved on a wide array of projects and provide accurate and timely advice to the D-CEO on those or manage those in autonomy when required, including:

• Mergers and acquisitions projects and related workstreams in Belgium and abroad;
• Post-acquisition integration matters coordination and execution;
• Greenfield real estate developments projects and related workstreams;
• Financing and re-financing projects and related workstreams;
• Corporate housekeeping;
• Data room management, ensuring that the NH managers and secretaries always keep the data room up to date;
• Legal toolbox development: develop and maintain the Group’s legal documents templates;
• Internal governance, ESG & compliance policies specification and implementation;
• Covenants’ dashboard control, maintaining a global view on all the covenants included in the Group’s financing agreements to ensure compliance at all times;
• Litigation management, making proposals to the D-CEO as to the strategy to be adopted with regard to possible litigations, coordinating with external advisors, litigation process’ follow-up;
• Insurance management: in collaboration with a broker, ensuring adequate insurance covering for all activities.

The required profile for the Legal Counsel position:

• You have a master’s degree in Law;
• A post-graduate degree in management / finance / MBA is an asset;
• You are fluent in English, French and Dutch;
• 3 - 5 years’ experience in the corporate & finance department of an international law firm in Belgium, incl. transactional work experience;
• A good understanding of M&A and financing transactions is required. In addition, any experience with real estate contracts is an advantage;
• You are flexible, hard-worker, autonomous and daring;
