Our client

Our client is a leading medical and travel Security Risk Services Company. It has clients across the globe and has a unique expertise within their field.

The holding company with a small team of professionals focusses on providing strategic advice and direction to its subsidiary.

The position

As a Company Secretary Manager you will work for both the group (approximately 70% of your time) and the holding company (30% of your time). Your responsibilities will include the following:

  • Managing board and shareholder meetings, including coordinating timing and location of meetings, preparing and distributing board/shareholder pre-read materials, meeting agendas, notifications and meeting minutes for the board of directors and shareholders. 
  • Monitoring and highlighting board and shareholder decisions and/or information items, actions and directives to ensure action items are duly addressed.
  • Maintaining the Legal and organizational chart of all relevant portfolio entities.  
  • Monitoring, prompting and supporting local and regional management in obtaining and maintaining all licenses and approvals required in order to allow the entities to offer the types of Services offered by the Group (e.g., medical assistance, staffing, security, clinic, pharmaceutical, supply chain, aviation and other services and product offerings) in the relevant territories where the entities operate.  
  • Maintaining all official documents of the entities such as the official seals, records of shares issued, corporate bylaws and minutes of all board and shareholder meetings, and assisting with the preparation and filing of annual audited accounts. 
  • Monitoring corporate governance requirements for the entities.
  • Ensuring that bank signatory requirements, registrations and changes are promptly and properly satisfied.
  • Ensuring all required key documents, records and information for all entities is promptly uploaded and maintained in relevant Group technology platforms and databases and filing structures. 
  • Supporting from time to time to other group projects such as M&A activities. 
  • Managing administrative matters for a small office. 

The above tasks will be carried out for the holding company, for around 30 European legal entities and around 15 North American legal entities of the group.

Your profile

  • You hold a Bachelor or Master degree in Law
  • You have at least 5 years of experience in Corporate Governance and Compliance preferably at a multinational company or a Belgian company with an international business portfolio.
  • You have an excellent knowledge of English and French (spoken and written). Any other European language is an asset
  • You are able to work in a solo / small practice
  • You have a flexible mindset and are able to work autonomously
  • You enjoy establishing and developing strong working relationships with internal clients
  • You like to think strategically about managing the corporate secretarial requirements of the portfolio of entities
  • You are willing to travel on an occasional basis

  • A full time work week is preferred, but our client is open for candidates who prefer to work 80%. 
  • The office is based in Brussels, but International SOS offers a very flexible policy with regards to remote working, in which event occasional presence at the office in Brussels would be expected on an agreed basis.
