Op 1 januari 2018 zal de Pandwet van 11 juli 2013 na herhaaldelijk uitstel eindelijk in werking treden. In de nieuwe Pandwet worden aanzienlijke hervormingen voorzien op de huidige regeling inzake pand. Met de creatie van een eenvormig pandrecht, zullen bepaalde bijzondere regelingen zoals het pand op de handelszaak en het landbouwvoorrecht afgeschaft worden. Deze hervormingen zouden een aanzienlijke vereenvoudiging voor de schuldeisers met zich mee moeten brengen. De afschaffing van de bijzondere regelingen heeft evenwel ook gevolgen voor de schuldeisers die reeds rechten putten uit de bestaande regelingen.

Introduction

In 2013 Belgian Parliament enacted the Belgian Act on security rights in movable property of 11 July 2013 (the “Act”). This new legislation envisaged the creation of an electronic, online National Pledge Register so that a pledge on movable assets (tangible as well as intangible) can be created between pledgor and pledgee and perfected by registering the pledge and without dispossession or loss of control of the pledged assets. The register could also be used to register retention of title arrangements (“ROTs”).

EU Regulation 655/2014 of 15 May 2014 establishing a European Account Preservation Order procedure to facilitate cross-border debt recovery in civil and commercial matters (‘EAPO Regulation’) came into force on 17 July 2014 and applies from 18 January 2017.

The Belgian Council of Ministers has endorsed a new draft law amending the Law on Security Interests over Movable Assets, dated 11 July 2013. Most notably, the amendment postpones the entry into force of the 2013 Law by one additional year, until 1 January 2018 (or earlier if so determined by a Royal Decree).

In a judgment dated 9 June 2016, the Constitutional Court ruled that there is a gap in companies' legislation regarding capital reductions in private limited liability companies ("besloten vennootschap met beperkte aansprakelijkheid"/"société privée à responsabilité limitée"). Creditors of public limited liability companies ("naamloze vennootschap"/"société anonyme") whose claims are subject to a judicial procedure or arbitration can require additional security. Creditors of private limited liability companies which are in a similar situation do not enjoy such a right. The Court finds that this situation is discriminatory.
