Our Client, Spadel, is a belgian listed company producing three ranges of natural water based drinks:

  • natural mineral waters and spring waters
  • flavoured natural waters
  • still and sparkling lemonades with 100% natural ingredients

Spadel has 6 brands (Spa, Bru, Devin, Wattwiller, Carola and Brecon Carreg) and 6 production sites :

  • Belgium: Spa Monopole (Spa) and Bru-Chevron (Lorcé-Stoumont)
  • Bulgaria: Devin (Devin)
  • France: Les Grandes Sources de Wattwiller (Wattwiller) and Les Eaux Minérales de Ribeauvillé (Ribeauvillé)
  • UK : Brecon Mineral Water (Trap, wales)

The key markets are Belgium, the Netherlands, France, the UK and Bulgaria.

Spadel emloys 1.287 motivated people. Currently our Client is looking for a General Counsel (m/f).

He/She will supervise all activities of the Legal Department, which consists of a Legal Counsel, in charge of operational legal matters and monitoring of food regulation, and a Legal Assistant.

The General Counsel will mainly deal with corporate governance in the broad sense (company law, corporate governance, obligations of listed companies) and legal advice for strategic matters (mergers/acquisitions, concessions for exploitation of springs, etc.). In addition, the General Counsel is responsible for defining and monitoring the strategy for management of industrial and intellectual property rights. 

The General Counsel defines the Groups’ legal strategy, guarantees the legal certainty of the decisions and operations and the legal protection of the assets of Spadel. The General Counsel will ensure that company operates within the law at all times, will offer counsel on legal issues, will serve as an effective guardian of the organization and will facilitate business development.

You mail responsibilities will include the following:

Legal tasks

He/She needs to manage the legal function of the Group to guarantee its efficiency and legal compliance of Group’s activities and decisions:

  • define the Group’s legal policy;
  • manage organization's legal matters;
  • define and implement internal policies and procedures; 
  • provide legal opinions on various situations, contracts, transactions, etc;
  • deal with external parties such as regulators and external counsels;
  • ensure legal compliance regarding mergers and acquisitions (M&A) activity;
  • advise executive, senior management and board on various matters such as legal rights, and new and existing laws;
  • increase awareness among Spadel Managers about legal aspects of their activities;
  • maintain knowledge of organization’s operations and legal documents.

Corporate Secretarial tasks

He/She needs to ensure the legality and compliance with the articles of association and the corporate governance rules of the decisions and actions of the organs of the Spadel companies :

  • the lawfulness of corporate and specific mandates (appointment, duration, …);
  • the smooth running of meetings of the organs of the Group companies (agenda, convening, procedure);
  • the recording and archiving of minutes of these meetings (excluding the minutes of the Board of directors of the parent company);
  • the legal conformity of the reports and documents adopted by the Board of Directors or the General Assembly of Shareholders;
  • the lawfulness of procedures to adjust the regulations or structures of the Group  (mergers, demergers, capital increases, squeeze out, etc.);
  • the monitoring of and compliance with corporate governance rules;
  • publication of legally-required notices.

Protection of Industrial and Intellectual Property Rights

He/She needs to manage the Group’s industrial and intellectual property rights to ensure their optimal protection :

  • define and monitor the policy for management, protection and defense of Spadel’s trademarks, patents, copyrights and other intellectual and industrial property rights;
  • Implement and supervise appropriate management and protection procedures and tools;
  • supervise the progress of trade mark, design and patent opposition proceedings;
  • manage legal disputes.

Management of Risks and Responsibilities

He/She needs to ensure appropriate cover of the risks and responsibilities of the Group companies :

  • define the legal risk management strategy and the coverage of the legal risks, as well as the responsibilities, to reduce their impact on Spadel’s activities and assets;
  • define and implement preventive procedures and legal measures in terms of coverage of risks (contractual clauses transferring risks and responsibilities, …) ;
  • ensure compliance with rights of defense in the event of a dawn raid;
  • participating in risk management and crisis management.

Management of the Legal Department

He/She will head the legal department to ensure an efficient organization:

  • organize the division of tasks;
  • Coach the team;
  • set individual targets and monitor performance;
  • monitor the budget (operating budget and specific legal, industrial property budgets);
  • define the needs and rules in terms of filing, archiving and documentation.

  • You have a Master Degree in Law, ideally combined with a LLM in business law;
  • You have at least 8 years of working experience, with a solid experience in an internationally oriented law firm and a demonstrated experience as an in-house counsel;
  • You have an excellent knowledge of corporate law;
  • You are business-minded and solution-oriented;
  • you are able to translate complex legal issues in a pragmatic way;
  • You have strong coaching, listening, communication and negotiation skills;
  • You are highly motivated, hardworking, proactive and innovative in order to support the further development of the business;
  • You have high ethical standards;
  • You have an excellent knowledge of Dutch, French and English.

As a General Counsel you will work from the headquarters in Woluwe, and you will need to travel ad hoc to Spadel offices in Spa (Bel)/Made (NL)/Alsace (Fr)/Sofia (Bg)/London (UK).
