Description of the vacancy

Under minimal supervision, the Legal Counsel is responsible for (i) negotiating, writing, reviewing, summarizing, researching and delivering a wide variety of agreements for law department clients, including distributor agreements, technical service agreements, license agreements, confidentiality agreements, and other general business contracts; (ii) providing legal advice; and (iii) assisting with the administration of the Company’s corporate affairs in EMEA.

Your tasks will include:

  • Manage all aspects of contracts arising in the affected regions:
    - Manage contracts review, draft, negotiation and approval. according to the specific rules set out by the Company Contract Management Policy.
    - Manage distributor contracts (Distributors Management System).
  • Offer counsel on a wide variety of legal issues.
  • Advise Company’s executives and employees (commercial and functional departments) in EMEA
  • Manage projects and deadlines.
  • Advise on contract status, legal risks and business terms of various Company arrangements and business relationships.
  • Corporate housekeeping matters, in collaboration with external lawyers, relating to the Company’s EMEA legal entities and branches.
  • Explain legal language and develop solutions to legal questions.
  • Keep abreast of legislative changes that may affect the Company and its affiliates in the affected regions.
  • Develop solutions to complex legal questions and liaise with external counsels when necessary.
  • Provide training to Terumo BCT affiliates in EMEA on substantive legal and compliance topics.
  • Other duties as assigned which are reasonably within or extensions of the scope of the above listed duties or those included in the Law Department strategic plan.

Profile

  • Master in Law.
  • Minimum 5 years of experience in relevant legal work with a portion of this time spent in a legal firm, or in the healthcare industry.
  • Experience with contract management.
  • Experience with EU and national legislation.

  • Requires excellent knowledge of English and in particular, excellent drafting skills in English.
  • Knowledge of any other European language would be a plus.
  • Discretion & high level of confidentiality.
  • Legal document drafting and negotiation skills.
  • Legal research skills.
  • Ability to interact effectively with associates at all levels in all businesses and apply skills of influence and persuasion.
  • Requires ability to listen carefully, question and process/consider input effectively when evaluating legal and compliance issues.
  • Skilled at working independently while coordinating with other attorneys, paralegals and administrative staff.
  • Demonstrated ability to quickly establish trust and rapport with other personnel.
  • Understands business implications of decisions and knowledge of market and competition.
  • Efficient at handling multiple projects.
  • Requires strong organizational, analytical, interpersonal and time management skills.
  • Requires strong presentation skills to facilitate the effective delivery of training.
  • Knowledge of Word Processing, Spreadsheet, Database, and PowerPoint software.
